                          D1 Oils plc ("the Company")



D1 Oils plc has today been advised that Bailhache Labesse Trustees Limited ("the
Trustees"), as Trustees of the D1 Oils Employee Benefit Trust, has entered into
arrangements to dispose of 1,191,335 ordinary shares in the Company at a price
of #2.95 per ordinary share.  Accordingly, the Trustees intend to shortly repay
the outstanding loan of #3,462,500 to D1 Oils plc from the proceeds of this
sale.  The Directors note that the sale has facilitated the continuing
development of the Company's institutional share base.  The D1 Oils Employee
Benefit Trust now no longer has a notifiable interest in the company.
