    Issue of Equity

    Close Brothers Protected VCT PLC (the "Company") announces that, further to the Dividend Reinvestment Scheme introduced by the Company
(details of which were set out in the Circular issued to shareholders on 11 July 2008), the Company today allotted 16,646 ordinary shares of
50p each (the "New Ordinary Shares") in the capital of the Company.  In accordance with the Circular, the New Ordinary Shares were issued at
a price of 90.1p.

    Accordingly, application has been made to the UK Listing Authority for the admission of the New Ordinary Shares to the Official List of
the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities and it is expected that dealings
will commence on 26 August 2008. The New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares in issue.

    Following the issue of the New Ordinary Shares the Company will have 23,432,696 Ordinary shares in issue.

    In conformity with the Transparency Directive's provisions we would like to notify the market of the following:

    Close Brothers Protected VCT PLC's capital as at 22 August 2008 consisted of 23,432,696 Ordinary shares. Close Brothers Protected VCT
PLC holds 2,332,955 Ordinary shares in Treasury.

    Therefore the total number of voting rights in Close Brothers Protected VCT PLC is 21,099,741.

    The figure of 21,099,741 may be used by shareholders as the denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, Close Brothers Protected VCT PLC under the FSA's Disclosure and
Transparency rules.
