interests in ordinary shares in 10p each in Capital and Regional Properties
plc:

Phillips & Drew Fund Management Limited also has a holding in the issued share
capital of the Company.

Both Phillips & Drew Life Limited and Phillips & Drew Fund Management Limited
are subsidiaries of Phillips & Drew Holding Limited which as a result is
treated as having an interest in 16.97 % of the issued share capital of the
Company as disclosed to the Company on 23rd August 1999.
