               Approval of Report and Accounts
                               

Costain Group PLC announce the outcome of a poll held at the
Company's Annual General Meeting today to approve the Report
and Accounts for the year ended 31 December 1996.  A total of
193,873,712 votes were cast in favour of approval, representing
some 99.9% of all votes cast.
