After four years as Chief Executive of Costain Group PLC John Armitt has decided
to resign in order to develop his other interests. No decision has yet been
taken as to when his resignation will become effective but it is the intention
that he should remain as Chief Executive until the Company is in a position to
make a new appointment. John Armitt will leave with the best wishes of the
Board.

Arrangements are in place to identify a successor.
