Share Consolidation and Total Voting Rights 
 
Dealings commenced at 8.00 a.m. this morning in the Company's ordinary shares of 
50p each, following the one-for-ten share consolidation, as approved by 
shareholders at the Company's Annual General Meeting on 6 May 2010. 
 
The Company's issued share capital now comprises 63,424,871 ordinary shares of 
50p each. The new ISIN is GB00B64NSP76 and the ticker, COST, remains unchanged. 
 
In conformity with the Transparency Directive, Costain notifies the market that, 
as at 10 May 2010, Costain's capital consists of 63,424,871 ordinary shares of 
50p each, with voting rights. The Company does not hold any shares in Treasury. 
 
The above figure (63,424,871) may be used by shareholders as the denominator for 
the calculations by which they will determine if they are required to notify 
their interest in, or a change to their interest in the Company under the FSA's 
Disclosure and Transparency Rules.
