Following the announcement by Skanska Invest AB on 2 November 2000 of their
disposal of the shares held by them in Costain Group PLC Mr Anders Carl Ingvar
Karisson and Mr Staffan Bertll Schele nominees of Skanska Invest AB resigned
from the Board of Costain Group PLC as non-executive directors with effect from
the 9 November 2000 as required pursuant to an Underwriting Agreement dated 10
October 1997 between Costain Group PLC and Skanska Invest AB
