                 Completion of Acquisition of 25% Shareholding                 

The Company announces that it has completed the acquisition of a 25%
shareholding in Catalyst Investment Corporation ("Catalyst") a company based in
Toronto, Canada by way of an investment of C$2.4 million (approximately �1
million). This completes a transaction whereby the Company has acquired a 25%
interest in Catalyst and in Private Equity Trading System Canada Inc., a
company under common ownership, which is the licensee for the PETS trading
system in Canada.

Catalyst, via an intermediate holding company, has recently merged its two
Mutual Fund Dealers and Deposit Brokers, Monarch Delaney Financial ("MDF") and
The Investment Shop ("TIS"). Together MDF and TIS have an investor pool of
around 5,000 clients and assets under administration in excess of C$600 million
(�250 million). The newly merged MDF and TIS now known as Monarch Wealth and
Investment Group, will benefit from operational efficiencies and combined
strength in the areas of strategic partnerships and business alliances with
potential external investment advisors. Catalyst will also have opportunities
to develop efficient tax planning and wealth succession strategies.

Jacquie Boddaert, President of Catalyst, says that the link with Caplay and its
links with PTML and the PETS system make this an exciting partnership, which
both companies look forward to developing further, and creating the basis of a
significant financial planning group in Canada, with European links.

Philip Reid, Chairman of Caplay, commented that the completion of the
investment in Catalyst reinforces Caplay's commitment to creating a significant
financial business, and fits ideally with the company's interests in PETS
licenses and PTML.
