                          Board Changes - Replacement


Capital Bars plc (the "Company") advises that the following replaces yesterday's
announcement relating to board changes at Capital Bars plc released on 22
January 2002 at 14.58 under RNS: 3355Q. The announcement incorrectly stated that
the Offer being made for the Company by Full Circle Investments plc closed on 21
January 2002. The Offer will in fact remain open for acceptance until 3.00pm on
5 February 2002.

All other details remain unchanged. The full text of the amended announcement
appears below:

"Following the announcement that Full Circle Investments plc has extended its
offer for Capital Bars plc, Capital Bars plc announces the resignation from the
Board of Robert Gunlack and Robert Breare as non executive directors.

The Board would like to thank Mr Gunlack and Mr Breare for their valuable
guidance over the years and wishes them well for the future"
