Recommended Cash Acquisition of
Chrysalis PLC
by
Forte Bidco 1 Limited ("Bidco")
(an indirect wholly-owned subsidiary of BMG RM Investments
Luxembourg S.a.r.l.,
a joint venture between Bertelsmann A.G. and certain funds
advised by Kohlberg Kravis Roberts & Co. L.P.)
Court Sanctions Scheme of Arrangement and confirms Reduction of
Capital
The board of Chrysalis announces that, in connection with the
recommended acquisition of Chrysalis by Forte Bidco 1 Limited, the
Court has today sanctioned the Scheme of Arrangement to effect the
acquisition and approved the associated reduction of Chrysalis'
share capital. The Scheme is expected to become effective on 4
February 2011.
Chrysalis confirms that, as previously announced, the listing of
Chrysalis Shares on the Official List and trading of Chrysalis
Shares on the main market of the London Stock Exchange has been
suspended since 5.00 p.m. on 28 January 2011. It is expected that
the listing of the Chrysalis Shares on the Official List and
trading of Chrysalis Shares on the main market of the London Stock
Exchange will be cancelled at 7.30 a.m. on 4 February 2011.
Bidco may nominate a wholly owned subsidiary of BMG Rights
Management GmbH to be the allottee of the new Chrysalis Shares to
be issued pursuant to clause 1(B) of the Scheme. If Bidco elects to
make such nomination it is envisaged that the allottee will be a
newly incorporated English private limited company with the same
board of directors as Bidco.
Terms defined in the scheme document published by Chrysalis on
18 December 2010 (the "Scheme Document") shall have the same
meaning(s) when used in this announcement. Capitalised terms used
but not defined in this announcement have the same meaning as given
to them in the Scheme Document.
A copy of this announcement will be available on the Chrysalis
website at www.chrysalis.com by no later than 12 noon on 1 February
2011.

US holders of Chrysalis Shares should note that the Scheme
relates to the shares of a UK company that is a "foreign private
issuer" as defined under Rule 3b-4 under the Exchange Act and will
be governed by English law. Accordingly, neither the proxy
solicitation nor the tender offer rules under the Exchange act will
apply to the Scheme. Moreover, the Scheme will be subject to the
disclosure requirements and practices applicable in the UK to
schemes of arrangement, which differ from the disclosure
requirements of the US proxy solicitation rules and tender offer
rules. Financial information included in the Scheme Document will
have been prepared in accordance with accounting standards
applicable in the UK that may not be comparable to the accounting
standards applicable to financial statements of US companies. If
Bidco exercises its right to implement the acquisition of the
Chrysalis Shares by way of a takeover offer, the offer will be made

Dealing disclosure requirements
