             Director's Dealing and Grant of Phantom Share Options


Cosmedia Group Holdings Limited ("Cosmedia" or the "Company") announces that it
received notice today that Stanley Kit Pong and Antony Chi To Chan, directors of
the Company, have today waived an entitlement to phantom share options in
respect of total 20,272 notional ordinary shares in the capital of the Company
with a notional exercise price of #nil ("Phantom Share Options").  Following
this waiver, the Company has today granted the same amount of Phantom Share
Options to a senior employee, all of which vest immediately.
