          capital reduction and cancellation of share premium account



Further to the announcements of 15 and 22 June 2007, the Company announces that,
as part of the group reorganisation following the acquisition of the Company by
Catlin Group Limited in December 2006, the shareholders have approved the
capital reduction and reduction of share premium proposals as detailed in the
announcement of 15 June 2007 (the "Capital Reduction).

As previously announced the share capital of the Company will upon
implementation of the Capital Reduction be reduced to #100 and the share premium
account will be reduced to nil and a new set of memorandum and articles of
association will be adopted to reflect these changes.
