    On September 19, 2008, MLUDI STEERS NOTES SERIES 2007-2 substituted the entirety of the Underlying Collateral held by the Collateral
Agent, equal to USD8,885,000 principal amount of 6.11% Subordinated Fixed Rate Registered Notes due January 29, 2037 with CUSIP Number
59022CAJ2 issued by Merrill Lynch & Co., Inc. for USD8,885,000 principal amount of Floating Rate Notes due January 29, 2037 with CUSIP
Number 59018YT43 issued by Merrill Lynch & Co., Inc.

    As a result of the foregoing substitution, the Underlying Collateral shall be represented by: USD8,885,000 principal amount of Floating
Rate Notes due January 29, 2037 with CUSIP Number 59018YT43 issued by Merrill Lynch & Co., Inc.
