    NOTICE OF THE ADDITION OF A GUARANTOR

    The Bear Stearns Companies LLC (formerly known as The Bear Stearns Companies Inc.)
    Bear Stearns Bank plc
guaranteed unconditionally and irrevocably by The Bear Stearns Companies LLC
    Bear Stearns Global Asset Holdings, Ltd.
guaranteed unconditionally and irrevocably by The Bear Stearns Companies LLC
    Bear Stearns Caribbean Asset Holdings Ltd.
guaranteed unconditionally and irrevocably by The Bear Stearns Companies LLC
    U.S.$30,000,000,000 Euro Medium Term Note Programme (the "Programme")

    To the holders (the "Noteholders") of each series of notes outstanding on the date of this notice (the "Notes") of the relevant Issuer
specified therein and issued pursuant to the terms of the Trust Deed dated August 4, 1994, as amended and/or supplemented and/or restated
(the "Original Trust Deed") between The Bear Stearns Companies LLC (formerly known as The Bear Stearns Companies Inc.) (the "Initial
Obligor"), Bear Stearns Bank plc, Bear Stearns Global Asset Holdings, Ltd., Bear Stearns Caribbean Asset Holdings Ltd. and Citicorp Trustee
Company Limited, as trustee (the "Trustee"):
    JPMorgan Chase & Co. (the "Acceding Guarantor") has agreed, at the request of the Initial Obligor and in accordance with the terms of a
Thirteenth Supplemental Trust Deed dated July 31, 2008 (the "Supplemental Trust Deed"), to guarantee the payment of all liabilities and
obligations of the Initial Obligor (i) in its capacity as issuer with respect to the Notes issued by the Initial Obligor pursuant to the
Original Trust Deed and outstanding on July 31, 2008 and (ii) in its capacity as guarantor under the terms of the Original Trust Deed with
respect to the Notes issued by Bear Stearns Bank plc, Bear Stearns Global Asset Holdings, Ltd. and Bear Stearns Caribbean Asset Holdings
Ltd. pursuant to the Original Trust Deed and outstanding on July 31, 2008, such guarantee to be held by the Trustee for the benefit of each
Noteholder (the "Guarantee").
    The Initial Obligor hereby gives notice of the Guarantee given by the Acceding Guarantor with effect from July 31, 2008.
    The Thirteenth Supplemental Trust Deed  is available for viewing at the offices of the Agent specified below.
