                        ("Trace Group" or the "Company")

The Board of Trace Group has noted the tender offer announced today by John East
& Partners Limited on behalf of Stephen Austen (who is deemed to be acting in
concert with Simon Sanders) to acquire 3.4 million ordinary shares of 5p each,
representing 22.39% of the issued share capital of Trace Group, at 55p per
share.


The Board of Trace Group considers that the tender offer price of 55p per share
considerably undervalues the Company and represents its net asset value
including cash balances without ascribing any value to the business and its
potential.


The Company expects to announce its preliminary results for the year ended 31
May 2003 in early September.
