NewsfileVancouver, British Columbia--(Newsfile Corp. - June 12, 2026) - PreveCeutical Medical Inc. (CSE: PREV) (OTCQB: PRVCF) (FSE: 18H0) (the "Company" or "PreveCeutical"), is pleased to announce that, further to its news releases dated May 12, 2026 and April 22, 2026, it has closed a second tranche (the "Second Tranche") of its previously announced non-brokered private placement (the "Offering"), which Second Tranche consisted of the issuance of 9,800,000 units (each, a "Unit") of the Company at a price of $0.025 per Unit for gross aggregate proceeds of $245,000. The Company closed an initial tranche (the "Initial Tranche") on May 12, 2026, consisting of the issuance of 13,600,000 Units for gross proceeds of $340,000. The Company received aggregate proceeds of $585,000 from the Initial Tranche and the Second Tranche. PreveCeutical intends to close further tranches for the remainder of the Offering in the next four weeks.Each Unit is comprised of one (1) common share (each, a "Share") in the capital of the Company and one-half (1/2) of one Share purchase warrant (each whole warrant, a "Warrant"). Each Warrant entitles the holder thereof to purchase an additional Share (each, a "Warrant Share") at an exercise price of $0.05 per Warrant Share for a period of two years from the closing of the Second Tranche (the "Second Tranche Closing"), subject to an acceleration right, whereby the expiry date of the Warrants may be accelerated if the daily closing price of the Shares equals or exceeds $0.10 or greater on the Canadian Securities Exchange ("CSE") (or such other recognized securities exchange on which the Shares may then trade) for a minimum of ten consecutive trading days, in which event the Company may accelerate the expiry of the Warrants by giving notice via news release and, in such case, all of the then unexercised Warrants will expire on the 30th day after the date on which the news release is disseminated (the "Acceleration Right").In connection with the Second Tranche Closing, the Company paid an advisory commission fee (the "Advisory Commission Fee") of $16,000 to one eligible finder and issued 640,000 advisory commission warrants (each, an "Advisory Commission Warrant"). The Advisory Commission Warrants are exercisable into one additional Share at an exercise price of $0.05 per Share for two years from the Second Tranche Closing, subject to the Acceleration Right. Very interesting Walter. We haven’t heard much about the therapy for concussions. I didn’t think they were still working on that.

We are definitely due from some updates on Sol gel, BioGene and pain therapy.

For the Parkinson’s treatment through the Sol gel I believe they have to wait for patents to be filed so they don’t get nulled. Which should come soon.

I wonder if Biopain spin out will come in 2026. I think there’s a lot to work on for now, with the BioGene one that was completed end of 2025 I think we will have to wait for Biopain.

BioGene should have news/update in the near future too. I had read in the information circular last September that they were working on bridge financing with parent company (prev). So hopefully this or maybe a partnership to get the program going faster.

Construction of a clinical development plan for Phase 1 through pivotal Phase 3 studies.
Authoring of the Investigational Brochure for the Client's lead peptide in the final indication of interest.
PreveCeutical has now commenced the clinical development on March 20, 2023. This work is being performed at our selected CRO's facilities in Australia.
