PMC Capital Announces Pre-Merger Special Dividend DALLAS, Feb. 13 /PRNewswire-FirstCall/ -- PMC Capital, Inc. (the "Company") announced that its Board of Directors (the "Board") has declared a special dividend pursuant to the merger agreement with PMC Commercial Trust of $0.09 per common share plus such additional amount, if any, that the Company determines needs to be distributed as a dividend on or prior to February 27, 2004 (i) to permit the Company to eliminate any federal tax liability for its short final taxable year beginning January 1, 2004 and ending February 29, 2004 and (ii) to satisfy the Company's distribution requirement described in Section 852 of the Internal Revenue Code of 1986, as amended, for its short final taxable year beginning January 1, 2004 and ending February 29, 2004. If an additional dividend is required, the aggregate dividend may not exceed $0.16 per share of common stock. The pre- merger special dividend is payable on February 27, 2004 to shareholders of record at the close of business on February 23, 2004.
