The Bank of Nova Scotia (the
"Issuer") has agreed to
issue USD 10,000,000 Puttable Floating Rate Notes due 12 June 2029
(Series EMTN 459) (the "Notes") pursuant to its U.S.$40,000,000,000 Euro Medium Term Note Programme
(the "Programme").
The following document constitutes
the pricing supplement dated 12 June 2024 (the "Pricing Supplement") relating to the
issue of the Notes and must be read in conjunction with the
Prospectus dated 30 June 2023, as supplemented by the supplements
dated 29 August 2023, 1 December 2023, 27 February 2024, 9 April
2024 and 28 May 2024 (collectively, the "Prospectus") which constitute a base
prospectus for the purposes of the Prospectus Regulation
(Regulation (EU) 2017/1129, as amended), as it forms part of United
Kingdom domestic law by virtue of the European Union (Withdrawal)
Act 2018, in order to obtain all the relevant information. Full
information on the Issuer and the offer of the Notes is only
available on the basis of the combination of the Pricing Supplement
and the Prospectus.
