HARRISON, N.Y., Feb. 27, 2015 /PRNewswire/ -- MGT Capital Investments, Inc. (NYSE MKT: MGT) announced today that it has entered into a Letter of Intent ("LOI") with Tera Group, Inc., ("Tera") owner of TeraExchange, LLC, a Swap Execution Facility regulated by the Commodity Futures Trading Commission ("CFTC"). Pursuant to the LOI, both companies will work diligently to finalize and execute a definitive agreement by March 16, 2015.

MGT will then file a combination S-4 Prospectus and Proxy Statement with the Securities and Exchange Commission. Under the contemplated terms of the agreement, and subject to stockholder approval, MGT will issue shares of its common stock to the current owners of Tera, representing 70% of the pro forma equity of the combined companies at closing.

Tera has played a leading role in the development of bitcoin derivatives. In September 2014, Tera launched on TeraExchange the first regulated Bitcoin derivative products, and a spot Bitcoin price index. Trading of USD/Bitcoin derivatives is subject to the rules and regulations of TeraExchange and the CFTC. The Tera Bitcoin Price Index ("TeraBit") employs a dynamic algorithm that compiles and filters data on a real-time basis from a number of widely utilized global Bitcoin spot exchanges. The TeraBit Index will be used as the settlement rate for USD/Bitcoin derivatives transactions.

No interest but your right in that besides depreciation " tax return on tax invested capital from shareholders too pay wages your right they are by all means a easy source of income for some of the backs of capital spent from shareholders that is after tax money.

The way they get the money wheel spinning is by buying a company on credit by issuing shares borrowing back those shares as debt " leveraging " and reselling them into the market driving the stock down and at the same time repurchasing the shares creating a market that you once had.


Now there is plenty of capital spending on depreciated assets but unless you can keep capital coming things in time dry up and that is what you have here.


Hey I'm sure you did alright and if you pump up the volume you can get rid of your last remaining shares but then you never know that maybe the sods where not that lazy and did something to earn there keep or reinvested it with someone that did have ambition but hey there is a risk there as well.



Then there is Kodak that I believe put the money into Rochester to clean up the mess they left behind costing the company in the end but taking liability of the book on property that was a liability being in the shape it was left in along with falling property prices they fell into a whole like so many before them.

It is now regarded as a one sided trade were they can buy but won't sell you nothing.

They as in tera, or brokers? This has never had a functioning company but in all reasoning only a no income shell. These companies themselves try and say they are not shells, but they are.
This some time ago was a decent flipping stock but went into a coma for some reason.

Buy at par and sell above par for a zero risk investment.


Liability put in place to cover transaction cost of your broker so that you can take the tax gain against your winnings.

Gulf and western company? I worked for a gulf&western company back in the 70's and eighties. It was owned by Paramount studios. How did tera get the G&W name?

Now we need some buying volume to come back. We've had a lack of buyers to take it down. TERA went down on very low selling volume, not huge dumping volume.

Any news and we will fly to 0035 and then 0055 pretty quick.

Wanna bet that someone will try to place a trade at the bid right near the close to make it appear we are going down? Wanna bet it will be for somewhere between 100 and 500 tiny shares?

Be risky if you have some extra funds and those a small order down there for 0002 / 0003 0004 to see if you can get some cheap shares if they try to take it down. Not everyone is up to that, I understand. It depends upon your level of risk and extra cash that is ok to lose.

Penny traders believe that Market Makers (MM) will "signal" moves in advance buy using small amounts of buys or sells as "signals". The "signals" are such a small amount of shares (worth no more than 5 or 10 dollars) that no trader would have paid a commission that costs more than the amount of shares bought. The "signals" are from one MM to another.
100 I need shares.
200 I need shares badly, but do not take the stock down.
• 300 Take the price down so I can load shares
• 400 Keep trading it sideways.
• 500 Gap the stock. This gap can be either up or down, depending on the direction of the 500 signal

I with you alltrading. The all time record volume spike a couple weeks ago had some very strong buying from someone "in the know."

I'm just waiting for another round of buying to take TERA to new highs.

I don't think anyone is really selling 500 share lots. (That is any "real person.") My guess is that it is someone making the sales at the bid to make it appear there is selling going on. That way they can take it down for cheap shares.

I do not understand why people are selling 500 shares when bid is at 5000

TERA continuing to hold up well here. No sellers, just waiting for the next buying spree and TERA will jump.

This week will be 2 weeks from the last volume spike and 4 weeks from the first one. Let's see if the pattern continues. If it starts and you want in, better jump fast as this will skyrocket quickly. It is so thin on top, it will go to 0055 very fast.

Pick'em up earlier rather than later this week. If the previous pattern continues, we could be in for a nice run later this week.

Looks like someone is trying to entice folks to sell buy making those small sales at the bid to bring down the price.

Wow, look at those huge sales going through! a wopping 500 shares at 0009! Is that a $0.45 total sale?

It's impossible to load up with cheap shares when there are no sellers out there. Eventually, everyone will need to move up their bids in order to get shares.

5000 shares at 0011 this am is only a total of $5.50. Is someone trying to make it look like selling right out of the gate today?

Getting close to the interval for the next pop. March 1 we had a small pop, then mid-last week we had huge volume and a great pop. It's getting close to the same amount of time between the first and second pop, maybe early next week.

Small spike on March 5th, followed by the next spike 2 weeks later on March 21. It's been a little over a week since March 21. We need to watch the volume closely. Besides the 10 million share spike on Marach 21, we had 2 million shares bought on March 27th. WExceeding the previous high days volume is bullish, as long as it is buying volume. If we get more buying volume of more than 2 million, that's a great sign of things to come.
