The company seems to be doing fine but as a whole this is very confusing and they need to be clearer in what they are doing and their relationship with Rhino. They need a concise report.

CHARLESTON, SC-(Marketwired - Jan 25, 2016) - On January 21, 2016 Royal Energy Resources, Inc. ("Royal") (OTCQB: ROYE) entered into a Securities Purchase Agreement (the "Purchase Agreement") with Wexford Capital, LP, and certain of its affiliates (collectively, "Wexford"), under which Royal agreed to purchase, and Wexford agreed to sell, a controlling interest in Rhino Resource Partners, LP ("Rhino") (OTCQB: RHNO) in two separate transactions. Pursuant to the Purchase Agreement, Royal purchased 6,769,112 Common Units of Rhino from three holders for total consideration of $3,500,000.

The Common Units purchased by Royal represent approximately 40.0% of the issued and outstanding Common Units of Rhino, and 23.1% of the total outstanding Common Units and Subordinated Units. The Subordinated Units are convertible into Common Units on a one for one basis upon the occurrence of certain conditions.

At a second closing, to be held upon the satisfaction or waiver of certain conditions, but no later than sixty days after January 21, 2016, Royal has agreed to purchase Rhino GP, LLC, and 9,455,252 Subordinated Units of Rhino from two holders thereof, for aggregate consideration of $1,000,000. The Subordinated Units to be purchased by Royal represent approximately 76.5% of the issued and outstanding Subordinated Units of Rhino, and when combined with the Common Units already owned by Royal, will result in Royal owning approximately 55.4% of the outstanding Units of Rhino. Rhino GP, LLC is the general partner of Rhino, and in that capacity controls Rhino.

Seems like it could be the makings of something interesting. The precious metal component and the probably increase in authorized seem to be the stand out factors to be cautious about but the right acquisition or deal and the stock could perform. Have you spoken to the CEO?

Any idea what the sell of the project is going to yield to $ROYE?

Oh trust me I'm not investing any money here was just interested in their oil & gas ventures, if any.

I see the increase of authorized as necessary as there is only 100M authorized. A reasonable increase based on the price would be justifiable and could present an opportunity, if (and a big IF at that)they had any developments to become a reputable E & P company.

This non sense about precious metals is a pretty clear indication that will not likely happen.

On April 5, 2012, the Company’s Board of Directors approved making the notes convertible into up to 40 million shares of the Company’s common stock. In order to issue the required shares, either the controlling shareholders of the Company will increase the authorized shares of the Company or the Company’s CEO will cancel shares previously issued to him.

He will increase the A/S and i see dilution. Not enough interest in ROYE. He cant sell enough shares, that´s why he will release some news, like last year!
What happened after all these great news last year? Its a POS without any business, without employees, no doubt about that!

Is this an energy company or a mineral company?

Royal Energy Resources's oil and gas leases comprise 3,400 acres of property in Wyoming. The company holds the lease for uranium rights on 1,000 acres in Laramie County, Wyoming. According to the Wyoming Tribune-Eagle dated August 9, 2007 and October 15, 2007 Powertech Uranium Corp. based in Vancouver, British Columbia, Canada has proposed a $20,000,000 uranium mine in Weld County, CO. At prices of 2007 the uranium there would be worth over $1 billion dollars. They are just waiting for a permit approval. Royal has 1,600 acres in Laramie County, Wyoming. It is in the uranium trend approximately 25-30 miles from where Powertech is.

The company also holds the lease for 2,100 acres of rare earth and precious metals in Crook County, Wyoming. Some of the rare earth metals in Crook county are quite close. They are approximately 5-6 miles from the Bear Lodge Mountain. The US geological survey has studied the area of the Bear Lodge Mountain extensively (USGS Prof. paper #1049-D) and has estimated that it contains one of the largest deposit of disseminated rare earth elements in North America. The company's CEO completed the initial stages of forming a Romanian subsidiary to be used to acquire and develop possible gold, silver, and copper mining concessions in Romania. The subsidiary S.C. Golden Carpathan resources S.R.L. will be located in Bucharest, Romania when the formation process is completed.
