Subscription Agreement Announcement Correction
The Company wishes to correct an error in its press release issued February 26, 2020. The correct number of common shares issued in connection with the Company's financing coordinated through Shaxon Enterprises is 9,342,561, rather than 1,500,000. The Company raised gross proceeds of CAD $270,000. This correction does not change any other amounts or information reported in the February 26, 2020 press release.

Hoping the delay in financials is related to the TerraFarma merger under consideration. This is the last week of the reported 30 day time period for a decision.

If it's a done deal it might need to be reported as a subsequent event in their report, and could be the reason for the delay. Plus we should be getting a bi-weekly default status report soon that might explain the delay.

Hoping that TerraFarma takes control of Beleave, and gets their house in order. Their executives have much more experience running successful companies. Also interested to see if TerraFarma purchased the London facility, which would be a smart move if they are acquiring. imho glta

It seems reasonable to think TerraFarma is the private purchaser of the London facility. If the business combination is still happening then it makes sense to keep London in the family. Good move if that's how it works out.

Hoping Beleave can beat its previous quarter on tomorrows earnings. Maybe pop over $1M for a little positive momentum. Also higher margins would be nice. Plus the normal stats like grams sold, inventory on hand, and biological assets currently in production.

Sorting cannabis oils by popularity on Wiid Boutique's website shows Beleave's Ultra Sour Oil at #4 of 37 total oils. Ahead of some huge names in the industry.

Smart to name the oil after the strain, that's the information customers want. Not some company generated name like Renew or Sunset. What does that even mean.

Beleave also has 2 strains of dried flower in the top 25, Pink Kush & Cold Creek Kush, out of a total 103 strains. Beleave might not have a lot of product yet, but what they have appears to be popular. imho glta

We might see a higher price per share due to a reverse split that sometimes happens in a reverse takeover. Never liked the 7/1 forward split that preceded the rapid decline in the share price. Beleave turned into a shorts stock after that. Would like to see it reversed back to the original o/s or lower. Beleave made some bad decisions with their shares, but that one could be reversed. imho glta

Sounds like a reverse takeover to me, where TerraFarma would become the parent, and Beleave a subsidiary. The press release did mention exchanging Beleave securities for TerraFarma securities.

Another possible outcome could be TerraFarma absorbs Beleave under the TerraFarma brand, and the Beleave brand goes away. This would be my preference since Beleave doesn't use the same ultra premium Landrace genetics TerraFarma uses.

TerraFarma appears to target the high end market. Beleave/7Oaks is more of a mid tier brand price wise. Simpler to change the name to avoid customer confusion over genetic quality differences between the brands. Top quality is what consumers want. Always imho glta

TerraFarma's management team looks like the real deal to me. The CEO is a Professional Engineer with two MBA's, and a history of success. The whole Management Team & Board of Directors are loaded with success stories from the business world.

These professionals should be able to get Beleave's expansions up and running in quick time. They built their first 10,000 sq ft indoor facility in 90 days. If they can speed the process up for Hamilton & London profits could come sooner than expected.

Beleave is the perfect take out target for for a private company going public. Beleave has the right kind of assets without a ton of debt. The 85 acre London facility with 250,000 sq ft greenhouse could be producing premium landrace cannabis before 2020 with TerraFarma's quick to build engineering expertise. The 91,000 sq ft Hamilton expansion is already on schedule for completion before 2020.

For all its missteps Beleave has secured some valuable real assets with major pontential in the right hands. Looks like we will know if TerraFarma is those hands in 30 days. Beleave shouldn't give the farm away, but don't expect the world either. Just get the deal done, and keep moving forawrd. imho glta

If there's any house cleaning left to be done, now would be a good time to do it. The new independent directors were put in place to make the hard decisions necessary to restore investor confidence in Beleave after the last trading halt. Hopefully the current halt is the independent directors taking control of the company, and getting Beleave back on the right track financially, and personnel wise.

On a more positive note Beleave products are still in stock online at The Ontario Cannabis Store, BC Cannabis Stores, and Wiid Boutique in Saskatchewan. Currents strains available are Ultra Sour, Pink Kush, San Fernando Valley, Cold Creek Kush, and Shishkaberry.

As long as this trading halt doesn't hamper production or expansion I can grudgingly accept it. Any further missteps and I'm out.

I agree that a buyout is a strong possibility. Their growth/expansion plans are very aggressive yet beyond their current capabilities without a third party either helping/or acquiring them.
Kevin Keagan is active on the Beleave forum on Facebook and says 'I don't envision any issues just taking longer than expected'...unfortunately we have no control so lets see what plays out.

Rumors swirling on the boards about Beleave's trading halt. One is a Beleave buyout is in the works. This would make sense if the current internal audit is to determine Beleave's market value before a sale. Any acquirer would want the books gone over with a fine tooth comb.

This audit came up unexpectedly immediately following another audit that restated their financials upward, and reportedly incorporated the new financial reporting requirements now in effect. Why they needed another last minute audit is still a mystery.

If it is a buyout the stock could remain halted until the deal is done. Personally I'd rather see Beleave take on a deep pocketed strategic partner like Auxly with an long term wholesale supply agreement. More upside for investors once Beleave hits the profits the CEO anticipates for early 2020.

They seem to be heading in the right direction since the new independent directors were added to the board. The BCSC matter was settled, Hamilton expansion actually happening, and now internal audits to get the financials right. Minor setback with the late filing, but for the sake of accuracy its worth it. imho of course.

It is pretty obvious they are in a state of disarray and that is what XLY does. It would not surprise me if they are considering a buyout. I just want it to start trading again. There is still some meat on the bone.

You're welcome. I like that Beleave's new oil is strain specific. Named after the strain it represents. Lots of oils are a mishmash of different strains named things like relax, energy, sleep, etc. If a customer likes Pink Kush flower, now they can buy that strain in oil as well. Built in demand for popular strains. Looking forward to more strain specific oils from Beleave. Blue Dream?

Also like the fast pace of the new greenhouse going up. Contractor doing a great job. Waited a year for another company to finish a bricks and mortar 35,000 sq ft grow facility. Beleave will more than double that in 4 months. Modular construction is the way to go. imho glta
