Well I guess your question got answered. Now I’m wondering if Expert Market coming. Are they ever gonna file? If something miraculous doesn’t happen then it’s not looking good.

Wondering when they're getting delisted from the QB? Still no annual report, and the first quarter report is due today also. So sad that the incompetence of the company management blew it.

Not sure on that new listing... perhaps more shady practices with the former goons trying to do some backdoor hostile takeover and using a very similar name to try to snatch customers?

I agree with everything you say here but I try to be optimistic since I am heavily invested. Any thoughts on Ameriguard Security Systems, newly listed on NVSOS?

No panic selling, but its obvious that this is going down especially after they lost the other huge contracts that were >50% of their revenue.

Its a shame since this appeared to have good potential some years ago, but then they went overly aggressive with the QX filing and too much overhead and never delivered on anything. The executive level infighting that lead to the creditor violations basically put the nail in the coffin.

The price paid for those shares was about $0.28 per share. That’s a lot more than current price. So if it’s sold to an investor then what do they know that we don’t to expect that transaction to make money?Also I haven’t seen any panic selling following that announcement. I will hang on to mine. Yup - massive dilution/devaluation as any remaining investors want to cash out before its worthless.
This thing is getting kicked off the OTCQB soon as well with their corporate and financial mess and delinquent filings.

On April 15, 2026, the Company authorized the issuance of 8,756,150 shares of its Common Stock to Lillian Flores.

The shares were issued in consideration for partial conversion of $2,456,991 of outstanding debt.

Not sure what’s happening but new filing with NVSOS shows new listing Ameriguard Security Systems INC. listed as Foreign Corporation. Mike Goossen and John Conrad listed as Directors. 2 filings: Initial List and Foreign Qualification today. Same address as Ameriguard Security Services in Fresno.

On April 8, 2026, Ameriguard Security Services Inc. (AGSS), received an email from the Department of Veterans Affairs Regional Procurement Office West, located in Pheonix AZ that the Veterans Affairs Long Beach CA contract was not awarded to TransportUS Inc. (TUS) a subsidiary of AGSS. The contract had been managed by TUS for 7.5 years and provided approximately $9 Million in annual revenues. This is approximately 58% loss of total revenue projected to be earned in 2026.

The contract was awarded to a California Corporation with a 3.5-year term, representing a total contract award of $20,928,228. The process of transitioning the contract from TUS to the new contractor will take place during April 2026.

What a mess... downgraded from QX to QB because they couldn't meet maintenance listing requirements.
10Q is a mess still with continued losses, and almost 4.5M shares issued because a lender exercised their option to get their cash and run... meanwhile the loss of the annual govt contracts is in excess of 14M annual with little sign of any replacement in other areas.

"July 2025, 1800 Diagonal Lending LLC (lender) initiated the conversion right of the loan allowing for the outstanding loan balance to be converted to AGSS shares if payment is delinquent. The conversion rate is 71% of the share value averaged over the previous 10 trading days. The lender converted $20,000 of the loan balance into 495,894 shares. In August 2025, the lender converted the remaining balance of the loan of $40,984 into 3,934,292 shares"

Its no wonder the stock is in the tank and headed to sub-penny.

Has nothing to do with govt shutdown... filings are electronic and come from the company.

No/poor leadership, loss of contracts, declining sales. This quarterly report, whenever it shows up, will show the full impact of the company infighting and loss of govt contracts.

Hopefully it’s just due to SEC backlog following shutdown.

There's been some interest on the bid for a few days now. Was really hoping for under 02. I wouldn't be surprised if a handful of people were hawking PACER for anything positive, as we know this could start skipping pennies if so. Just imo

One of the docket summaries I saw listed Garcia, Slatic, Goosen, and Cashen as creditors in a Monetary Judgment. I don’t know details. Curious to see if they are compensated for the damages caused by the attempted takeover by Anderson and Honore.

Even some new material events or strategic PRs could do wonder for a nice rebound. I wonder if the events in court were able to prolong the QX grace period. 
Now if I could just fill some more bids 007-015 I would love to take another gamble besides the first technical bounce 

I agree, those filings aren’t cheap. While I am sure most know it’s a gamble, it’s not all gloom and doom from my viewpoint. They are still operating and they got financing. They still have contracts, and they still have TUS. The debt situation sux and is obviously a major negative. Yes it’s a long shot but I knew that already. The 3rd quarter filings are not too far away and they should be interesting, imo. Not sure how they are maintaining QX status with the current share price, but I am no expert on the rules. Maybe the grace period on that is longer than what I thought.

They lost/forfeited their govt contracts with the Social Security Administration because of the board/leadership saga.

The results of the actions taken by Mr. Anderson and Mr. Honore’ have impacted the Company negatively in two ways. First, On July 1, 2025, the Company received notice that our Government Purchase Order/Receivables Financing Agreement (the “Financing Agreement”), dated as of February 5, 2025, between the Company and List Government Receivables Fund, LLC (the “Lender”), was in default and that no further funding would be available. A Form 8-K was filed July 10, 2025, detailing the event. The second event was this action taken by the Lender caused the Company to forfeit the three Social Security Administration contracts listed in Note 13 above effective June 30, 2025. The impact of the forfeiture was immediate, reducing monthly revenues by $1.2 million. This situation has put the operations of the Company in jeopardy.

Management has since begun a complete reorganization of operations which is ongoing. We have taken steps necessary to keep our Transportation company operating and have begun eliminating all non-vital expenses in all categories. Although we are optimistic that we will be able to continue, the future is not certain. We can operate profitably moving forward resulting in some free cash flow. Month to month expenses will be met. However, the amount of debt held by the Company and the amounts due to vendors is significant and may be more than the future operations can manage. The Company’s continued operations greatly depend upon the arrangements that can be made with the Lender and the patience of our vendors.

Unfortunately it doesn't really matter at this point. Garcia screwed stockholders with his years of empty promises, and then the internal fight for control doomed the company.

Lost their govt contracts, no line of credit.
Financial filings delinquent, well over 30 days late with zero information.
Stock price below minimum maintenance for the OTCQX.
Don't even know if they are still operating.

Yup, thats low floaters for you. Just seems like there is a couple bids parked 01-02 that dont look like algo/mms. Any positive update could do wonders,imo. It was just strange to see the management cert filed after the early summer debacle. Time will tell and a couple gtc bids never hurt 

Problem is that selling anything tanks the price... somebody dumped 20k shares and dropped the price by 50% this morning.

At least its still thin enough to potentially get a rinse and repeat with light volume, imo. 01-02 is worth the risk for me atm

Nobody is at the helm here. I don't even know if they're still operating as they did not have cash to make payroll with the line of credit shut down. Almost a month delinquent on the quarterly filing, and not even a notice of late file. Getting booted from the QX is coming.

Could not happen to a "nicer Guy" All that hogwash, including the podcast , 3 years ago pushed many of us to buy up stock before the buyout and reverse into the shell. Lawrence made his money and after that has just let this company die off. He no longer needs it I guess, so for all those that supported his company including his employees rest assured he is living very well for the rest of his days. He treated his shareholders like dirt and now his name will forever be associated with the failure of this company.

I was hoping etrf would sell into mid 02s. Not much historical resistance after 08. We'd have to go back to 2022 near .50 if those are still being held. Otherwise its basically how the recent dip buyers hold well enough imo. Hopefully getting the delinquency off will trigger even more buyers

The agsscorp.com site has been updated and they still list many federal agencies as customers. And that’s not including all the TUS contracts they have. I think filings are coming. This company isn’t done yet. IMO

Yet they are still delinquent on their quarter filing, and didn't even submit a notice of late filing... and zero communication from the company regarding the current status of operations if they even have money to make payroll after the infighting debacle and forfeited govt contracts.

Oh they're also over 30 days below minimum price requirement for the OTCQB so in danger of delisting also.

They will be getting a warning notice from the QX this week also... I believe that on 8/20 that'll be 30 consecutive days below minimum $0.10 price.

Well unfortunately it appears you were right about not filing on time. Not even a request for late filing…. It would be nice to hear something from them regarding their future, if there is one.

maybe he plans to split off the medical transport and bankrupt the security guard business
