DENVER, April 30, 2026 /PRNewswire/ -- Apartment Investment and Management Company ("Aimco" or the "Company") (NYSE: AIV) announced today that Aimco's Board of Directors (the "Board") declared a $1.30 per share liquidating distribution to be paid on June 3, 2026, to stockholders of record as of May 15, 2026.







The distribution is being funded with net proceeds from recently closed asset sales, including $0.90 per share, representing the midpoint of the Expected 2Q Distribution range as previously disclosed and related to the twelve properties which were under contact as of February 9, 2026, plus an additional $0.40 per share related to the sale of 1045 on the Park in Atlanta, GA, the sale of Aimco's partnership interest in a four asset portfolio known as The Casas, and excess cash on hand. Because the payment of the liquidating distribution represents more than 25% of the price of the Company's common shares, the NYSE has advised the Company that its common shares will trade with "due bills" representing an assignment of the right to receive the liquidating distribution from the record date of May 15, 2026 through the closing of trading on the NYSE on June 3, 2026, which is the payment date and the last day of trading before the June 4, 2026 ex-dividend date (this period of time representing the "Distribution Right Period").Stockholders who sell their common shares during the Distribution Right Period will be selling their right to the liquidating distribution, and such stockholders will not be entitled to receive the liquidating distribution. Due bills obligate a seller of common shares to deliver the liquidating distribution payable on such common shares to the buyer (the "Distribution Right"). The record date of May 15, 2026, will be used as the date for establishing the due bill tracking of the Distribution Right to the holder of common shares.Due bill obligations are customarily settled between the brokers representing the buyers and the sellers of shares. Wes Powell, Aimco's President and Chief Executive Officer, comments: "My thanks to the Aimco team for their extraordinary efforts during 2025 which included actively managing our portfolio while working diligently to close $1.26 billion of strategic asset sales, retiring more than $435 million of debt and distributing approximately $420 million ($2.83 per share) to stockholders in the form of special cash dividends."In early February, Aimco stockholders overwhelmingly voted in support of the Company's previously announced strategic plan, focused on the orderly sale of the Company's remaining assets for the sole purpose of maximizing stockholder returns, which have meaningfully outpaced the FTSE NAREIT Equity Apartments Index over the prior five-, three- and one-year periods.  "Thus far in 2026, Aimco has closed on the sale of three properties for approximately $178 million and currently has ten properties under contract to sell for approximately $510 million, with the majority of those expected to close during the first quarter of 2026. The distribution includes the initial net proceeds from the Brickell Assemblage sale.  "Total liquidating distributions to stockholders are estimated to be between $5.75 and $7.10 per share, consistent with the range previously provided and also taking into consideration subsequent sales activity, valuation estimates for Aimco's remaining portfolio, and rapidly fluctuating economic conditions."As Aimco executes against our strategic plan we will continue to manage the business, and our overhead costs, to most efficiently and effectively maximize net proceeds distributed to Aimco stockholders."  Financial ResultsAimco's net income attributable to common stockholders per share, on a fully dilutive basis, was $2.08 for the three months ended and $3.87 for the twelve months ended December 31, 2025.Property Net Operating Income ("NOI") from Aimco's Stabilized Operating Properties was $9.9 million in the fourth quarter 2025, up 0.5% year-over-year, and $38.0 million for the full year 2025, down (0.3)% year-over-year.HighlightsIn the fourth quarter 2025, Aimco sold its final suburban Boston property for $250 million and its Brickell Assemblage which included The Yacht Club Apartments and the adjacent 1001 Brickell Bay Drive office building located in Miami, Florida for $520 million. In total, Aimco sold $1.26 billion of real estate assets in 2025.Aimco distributed $2.23 per share to stockholders by way of a special cash dividend paid on October 15, 2025, bringing total 2025 dividends to $2.83 per share.In December 2025, Aimco agreed to sell its portfolio of seven apartment communities in the Chicago area for $455 million with the full $20 million deposit becoming non-refundable in January 2026. Pursuant to this plan, Aimco expects to continue to monetize its assets and return proceeds to stockholders through liquidating distributions, subject to payment of liabilities and obligations and the creation of associated reserves. In connection with the sale, $173.4 million of non-recourse property debt was assumed by the buyer.In October, Aimco completed a transfer of ownership interests with its joint venture partner at the development land sites along Broward Avenue in Fort Lauderdale, Florida. Aimco exchanged its joint venture ownership in the non-performing seller financing note secured by 200 Broward Avenue along with $7.5 million of cash, for full ownership of 300 Broward Avenue.In December, Aimco sold its Brickell Assemblage which included The Yacht Club Apartments and the adjacent 1001 Brickell Bay Drive office building located in Miami, Florida for $520 million.The sale included $85 million of transferable and cross-collateralized seller financing notes provided from Aimco to the buyer at closing. Each note has a two-year term and two one-year extension options with an average interest rate over the full duration of 18%. As previously announced, Aimco plans to monetize the seller financing notes.Initial net proceeds, after taking into account the associated property-level debt, the tax liability, transaction costs, and excluding the seller financing notes, were more than $220 million. 2026 TransactionsIn January, Aimco monetized the subordinated seller financing note associated with property in La Jolla, California, for $18.5 million. As of February 23, 2026, 532 units (77%) were leased or pre-leased and 518 (75%) were occupied. DENVER, Feb. 9, 2026 /PRNewswire/ -- Apartment Investment and Management Company ("Aimco" or the "Company") (NYSE: AIV) stockholders voted with overwhelming support to approve the Plan of Sale and Liquidation (the "Plan") proposed by Aimco's Board of Directors (the "Board") at a special meeting held on February 6, 2026.







Following approval of the Plan, the Board today declared a $1.45 per share liquidating distribution, funded with the net proceeds of the December 2025 sale of Aimco's Brickell Assemblage, to be paid on March 13, 2026, to stockholders of record as of February 27, 2026. In addition, Aimco has entered into agreements with four separate buyers to sell 12 properties at a gross price of approximately $680 million, with approximately $30 million of non-refundable deposits in place.  These properties include Aimco's seven property Chicago-market portfolio, Hillmeade located in Nashville, TN, Plantation Gardens located in Plantation, FL, 118-122 West 23rd Street and 237-239 Ninth Avenue located in New York City, and The Benson Hotel and Faculty Club located in Aurora, CO.If all of the properties currently under contract close as planned, Aimco expects to distribute between $0.85 and $0.95 per share during the second quarter ("Expected 2Q Distributions"), after accounting for the retirement of property level debt, transaction costs, and the planned payoff of approximately $110 million of construction debt and preferred equity borrowings.  Aimco is focused on the efficient and orderly sale of its holdings to maximize and unlock stockholder value. It is our view that your actions, previously as directors of Apartment Investment and Management Company (“AIV” or “Aimco”) (NYSE:AIV) and now as directors of AIRC, have destroyed value and disenfranchised shareholders for decades. Your stated objective to close the gap to NAV through a taxable spin of 90% of Aimco’s best apartment properties into what is now AIRC has been an abject failure, as over a month after the taxable spin the shares of AIRC trade at a substantial discount to your own stated NAV.

Recent events and actions surrounding the taxable spin only serve to underscore the long history of bad behavior that has occurred under your watch. Consider the following:

You chose not to call a special meeting of shareholders of AIV to advise on the taxable spin, despite, in a timely manner, Land & Buildings receiving approximately 50% support for such a meeting – including a substantial majority of active shareholders;
You engaged in numerous disenfranchisement and delay tactics to stymie L&B’s special meeting request, including:
Setting a record date for our special meeting request more than 5 weeks after we filed our preliminary solicitation
Declaring a large taxable special dividend with the same record date as our special meeting request, in a blatant attempt to drive taxable shareholders out of the stock prior to having their voices heard
Delaying the certification of written consents by a week following delivery
Requesting L&B pay an exorbitant cost to hold the special meeting while simultaneously acknowledging there were no plans to hold a special meeting prior to the consummation of the spin.
You insured a staggered Board would be in place at the Company for the 2021 annual meeting to avoid shareholder accountability once again;

AIV will still operate as a REIT, just with a different focus, so the AIV investors used to know is now what AIR currently is. Confusing? It may have been simpler to have the AIR REIT remain as AIV, but in the end, as long as investors know they have not lost out then all should be forgiven.
