Smart Digital Group Ltd (SDM)

After an SEC Suspension the Nasdaq can place a T-12 HALT on the stock when the SEC Suspension expires in ten market days. A T-12 HALT occurs when the Nasdaq gives a company a formal request for whatever information is deemed necessary. Since early September 2025 the SEC has suspended 12 Nasdaq stocks and all 12 stocks are still halted under T-12 by the Nasdaq. The T-12 HALT can be in place indefinitely (example SVA has been halted under T-12 since 2019) until Nasdaq is certain the SEC is either satisfied with the outcome from their original complaint OR the SEC has charged the company.

I'm sure all shareholders of the 12 stocks that are still under a Nasdaq T-12 HALT are anxious to have their stock trading again, so I'll cross my fingers for you and all shareholders.

Try calling the company to ask them. If they decline to answer then you can suggest they put out an 8K to explain their circumstances.

When the SEC suspends a stock there is usually fraud(s) that have occurred, minimally malfeasance by the company so they may not want to provide any information that implicates themselves, corporately or managerially. NASDAQ has assuredly consulted the SEC so it is likely that NASDAQ won't release their HALT until or unless the SEC gives them clearance to do so.

Thanks Renee. It is close to 2 months since the stock is halted. Is this NASDAQ not satisfied their demand or CEO is not responsive to address all demands? It seems some serious manipulation became evident and both CEO and CFO aware. In between shareholders are crushed to bleed. What is the suggestive approach from here to get the clarity what’s going on? Isn’t this share holder right to demand what’s going on? Can we call for extraordinary meeting with the company ?

RAlbert: Unfortunately the NASDAQ has halted the stock after the SEC Suspension expired. The company must satisfy NASDAQ's formal demand for any/all information relating to the SEC Suspension.

The Securities and Exchange Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934, of trading in the securities of Smart Digital Group Limited (“SDM”) (CIK No. 0002014955), a holding company incorporated in the Cayman Islands whose principal executive offices are located in Singapore, at 4:00 AM ET on September 29, 2025, and terminating at 11:59 PM ET on October 10, 2025.

The Commission temporarily suspended trading in the securities of SDM because of potential manipulation in the securities of SDM effectuated through recommendations made to investors by unknown persons via social media to purchase the securities of SDM, which appear to be designed to artificially inflate the price and volume of the securities of SDM.
