Well, talk about a decent stock that is unloved.

I wish I knew about the new product release coming in the fall. And you have to think this company is still a very viable candidate for a merger of some kind .

Trying to suss out what is happening. No PR yet. The average volume has been headed upward for Six sessions now. Today, volume is nearly 4 times normal. Something is obviously happening between the public does not yet know the details.

Haven't posted about this since the merger fell through.
I have purchased a bit more as I look for new data to chew on. I had hopes the merger would come to fruition, but since it appears that is in the wind for good, we're left with a small company which appears to be transparent and well- run.
Though I'm not wild about recent dilution, generally, the OS and float is still very attractive.

Interesting trading today , here is what is going on:

Though the average number of shares changing hands is up, the Buy/Sell ratio at 2:30 pm eastern time is 11/15....with many of the larger lots making up part of the buys. People are taking fine advantage of these low prices, myself included.

Wouldn't it be something if some other company seeking a merger or buyout were to make a move while this share price is so low?

I'm buying more of this . The present discount is pretty healthy and the company is solid. I see this as a very good opportunity. Somebody is going to but this company out.

I have read about five articles regarding this termination . From the perspective of RKDA, this merger was a good action. It would've been good for shareholders.
I take the position that RR either got cold feet for some reason or, possibly, an entity within the regulatory system did not like the end run RR was doing around the public listing process and made it difficult for them to pursue this. A year for the process to end up falling apart has more to the story than the public is being told at this time.

As you surely know by now, Roosevelt backed out of the merger Christmas Eve.

While this was hardly expected, the amount of time they were taking to make it happen was becoming suspect. I had no evidence so there was nothing Is could say either way except that everything appeared to be on track to consummate the deal

For shareholders, the company became a stronger, leaner company over 2025. They are interested in finding another merger candidate. It might be interesting to see what Roosevelt does now. There is great interest in the oil industry now, especially in the Permian basin.
Sure I'm disappointed , but as one door closes, another always opens .

As you're almost certainly aware, the company issued an 8-k just today wherein they address the S4 which details the merger .
Apparently, this merger requires the SEC to provide a Notice of Effect. The SEC has not yet provided this. This may well be the reason the merger is still pending.
I do not know how the shutdown impacts the SEC, but it may well be a contributing factor here.

I have emailed the company and I am awaiting a reply. The soft approach . If no reply in a couple of sessions I will call directly.
I have spoken with the CEO in the past. He is a very straight shooter. Intelligent and with integrity.

If the merger were off, I feel very confident his respect for shareholders would compel him to issue a press release in a timely manner .

Had to grab a few more of these cheapies. Honestly, I never dreamed the price would get this good again.
Btw, has anyone gotten the proxy materials yet? I have not. Been keeping an eye out for that. The general meeting will happen shortly.

Did not expect them to take this long, but the company has done well for itself in the meantime.
Mr. Schaeffer is a nice person to speak with. He truly respects the shareholders.

Will keep buying if price stays this attractive.

This week looks good 😊 

Now that I have pulled apart some of the S4/A I understand why the merger has taken at least this long to come together.
So much careful effort has gone into it, and money ,just to make sure there is fairness and even handedness by both parties.
There seems so be a clear expectation that the emerging company's shares may end up being significantly more valuable than are RKDA's shares even given a potential reverse split, as well .
CEO Schaeffer is a careful fellow.

My hunch here is that RKDA has been posturing for the best moment for the merger given the various financial schemes at play based on outcomes of that special meeting and share issuance factors in play at time of merger.

Interestingly Rkda is stronger financially than they were a year ago at this time. Regardless, I still expect the merger will take place. Even if it completely fell apart now I believe I'd maintain my position in rkda for the time being.
The wait is annoying, but sadly typical.

I wonder why the long waiting game ? 1 quarter and 2 quarter and now going into a 3 quarter .  Wow 😮 

I had imagined that maybe the merger had somehow fallen apart, but I really don't think so. It's a killer move for Roosevelt. When I spoke CEO Schaeffer a couple of months back he spoke very positively about it and how RKDA had shed non performing assets. The company would be a much better performing component for Roosevelt.

So while I don't know for sure why it took such a hit I must lay the blame on shorters and impatient to retail buyers. Either way I'm still in and expect this to finally close imminently.

The way I'm seeing this right now is that a private company over a hundred years old, Texas oilmen all, want to go public. the most efficient way to do this is via a reverse merger.
Arcadia's bankers brought the deal to Arkadia. They liked it. And with only 1.4 M shares outstanding it's a very tight share structure. Even if the proposed sale of 12M more comes to pass, it is still a very tight share structure. Great for shareholders.

As business deals the go in the stock market, this is a small one and I think this is the reason many are overlooking it.
You can get that Roosevelt expects this merger to bring value to the new entity, to people who are long accustomed to a certain level of affluence. This deal excites them. And with Rkda now trading well above where it was premerger, I'm excited,too.

Because Roosevelt is privately held right now it is difficult to properly assess its value as a going concern, but I think the evolving numbers help us read between the lines a little.
As always, I have my target asset appreciation in sight and I'll be gone after I hit that number. I'm getting pretty close even now.
Patience, good data and consistent surveillance is my unholy Trinity. (GREED kills all of it.)

Overall, the recent numbers and chart data on this are looking very healthy and robust. They did bump the closing date back, but eliminated other contingencies that were part of the original deal.
Very encouraging at this point .
Time to buy a little more, methinks.

Many may think that the merger has failed because the first qtr came and went without it closing. The reason it did not close was that after both companies had completed their audits and filed them with the SEC, the SEC came back and told them they wanted updated filings to show the status of any possible material changes.

Both companies have delivered these updates and the merger is now expected in the 2nd qtr .

For RKDA shareholders, this merger means you are taking ownership in a private family-held oil company that is over a century old and very profitable.

Sometime this qtr this merger will close. When it does rkda-s small1.4M float will take a privately -held, very
successful, century old company public.
Those shares will very likely go up in value quickly.
