SNH owns 85%. Any point in a buyout at this stage? It's not like the shareholders can do anything.

SEC should have gotten involved in this years ago, but now that it's a penny stock, they aren't going to waste their time. Looks like there were a few dollars made going from $.3 to $1.


Five Star faces challenges that are currently negatively impacting its revenues, expenses, cash flows and results from operations, and Five Star expects these challenges to continue at least through 2019. These conditions raise substantial doubt about Five Star’s ability to continue as a going concern. Based on Five Star’s cash balance at December 31, 2018 and projected cash needs for the next 12 months, Five Star’s management believes that Five Star will need to increase its revenues, reduce its costs, renew or replace its existing credit facility, reduce its operating leverage and/or pursue other transactions to be able to continue to fund its operating and capital requirements and meet its debt covenant obligations.

I wasn't so much

Talking about acute problems of this company as opposed to the industry. The only way a company like this has a long term positive outlook is for it to be vertically integrated and extremely focused. The theory that own this, sell that, operate this, etc. is not growth it looks more like a managed decline. Much of this industry is in this position. Old, sick people or the handicapped do not easily generate money therefore get the shaft.

Yeah. THAT is the problem with FVE. If that were actually the case, the pps would be in the 20s. Problems with FVE are much bigger than that.

The business model

I just don't see a way forward for these type of companies unless massive deregulation is done and reimbursement rates are increased. What other business must keep non paying customers if they have nowhere to go to safely discharge them? Their families? Nope. There are only two ways to increase profits....increase prices or cut costs. They can really do neither.

I guess it’s going to zero where they can buy it for nothing and go private.

No reverse split will happen. It'll just be a lot cheaper for them to buy an OTC company than one that's actually listed.

It's a cash generating machine for the portoneys. Almost any quarter since inception, FVE could have easily shown a profit, but the way the whole thing is structured, they just pay fees to RMR instead of dropping that to the bottom line.
I dumped this joke a long time ago, but like most of my purchases, I have to continue to watch them and see if I missed out on anything.
Million dollar loss is nothing. I believe they could have shown a profit, easily. They choose to continue the way they do.
Book value is probably well above 2x the stock price, so tell me why people avoid this thing like the plague. It's the corporate structure.
Mackey knows what he's doing. Collecting a huge paycheck to operate this very financially healthy company that pays exorbitant fees to RMR.
Best part for them is the share structure means that NOTHING can be done by shareholders to change anything.
When they decide it's time, the company will be bought by RMR for peanuts, then they will sell it to VC for 10x that amount or maybe they'll just take it public again and do the same thing again.

I just can't understand how FVE can pay Company Executives so much when their performance has been so poor. The Company cannot seem to make money but they can pay their top executives. The stock market has been booming and FVE has been dropping. The population of seniors has been growing as has senior housing but FVE can't make a go of it. FVE stock price has been dropping down to where SEC may delist the stock and FVE is making no efforts to buyback or make a profit so the stock can rise. There are so many related transactions between entities that it is almost impossible to determine who is doing what for what monies.

I'm surprised nobody has made a REAL move for the whole company. Maybe this is Senior Star trying to force portley into doing just that, but if that's the case, it'll take a while to play out. Senior Star should have been able to come up with some help since their last joke of an offer. I don't think they are interested in anything other than making a little noise publicly. If they were interest in doing more, they could. They haven't and I believe they won't. Price gets a short term bump.

I saw that October 8-K stating the company would have to look at their past financial statements. However, the share price has come back nicely from the resultant fall.

Yes. Not sure if I should celebrate the fact that everything is done or be completely baffled as to how management keeps their jobs. Actually, the second one is because of SNH, so I'm really not baffled. Still, I think there is substantial upside, especially if some of the larger shareholders are grumbling.
