MORRISONS ANNOUNCES SETTLEMENT OF ITS
DEBT REDUCTION EXERCISE
Further to the announcement by Wm
Morrison Supermarkets Limited ("Morrisons")
on 3 June 2024, Morrisons today announces
the successful completion of the Group's debt reduction exercise,
consisting of (i) purchases of
participations in facilities B1 and B2 under the Senior Facility
Agreement in aggregate principal amounts of €774,752,590 and £115,605,917, respectively, and (ii) purchases of Notes subject
to the Offers in an aggregate principal
amount of £324,700,000 carried out in accordance with the terms and
conditions set out in the tender offer memorandum dated 20 May 2024
prepared by Morrisons, Market Parent Finco plc and Market Bidco
Finco plc (the "Tender Offer
Memorandum"). Capitalised terms used
in this announcement but not defined have the meanings given to
them in the Tender Offer Memorandum.
In connection with the purchase of
all of the outstanding 2031 Notes (Regulation S ISIN: XS2058692471; Regulation S Common
Code: 205869247) in the Offers and their
cancellation, Morrisons will request the London Stock Exchange to
cancel the admission of the 2031 Notes to trading on the Main
Market of the London Stock Exchange on or
about 4 July 2024, pursuant to Rule 4.18 of the London Stock
Exchange Admission and Disclosure Standards.
