ClearFrame Solutions Corp.: Private Placement Financing

ClearFrame Solutions Corp. (the "Company") (TSX VENTURE:CFA.H) is pleased to
announce that it has agreed to a non-brokered placement of up to $300,000 of its
securities consisting of the sale of up to 2,000,000 common shares (the
"Shares") in its capital stock at a price of $0.15 per Share. Finder's fees or
commissions in cash and/or securities may be payable with respect to the private
placement.


The proceeds of the placement will be used for the acquisition of mineral
resource properties, exploration expenditures and general working capital. 


The private placement is subject to acceptance for filing by the NEX Board of
the TSX Venture Exchange.


The Company also advises that it did not proceed with the private placement on
similar terms previously announced by the Company on February 22, 2012.
