Henderson Financial Opportunities Limited (the "Company") is pleased to announce 
that, at the First General Meeting held at 11.00 am today, each of the 
Resolutions proposed were duly passed without amendment. 
 
Following the approval of these Resolutions the ordinary shares of the Company 
have been reclassified as shares either having "A" rights or "B" rights (the 
"Reclassification") under the Articles of Incorporation of the Company. 
Application has been made to the UK Listing Authority to amend the Official List 
to reclassify the ordinary shares as set out below: 
 
2,929,223 Reclassified Shares with A Rights of 0.1p each - ISIN GG00B5VHPP42; 
 
35,203,709 Reclassified Shares with B Rights of 0.1p each - ISIN GG00B5VQ1W01. 
 
Application has also been made to the Channel Islands Stock Exchange, LBG (the 
"CISX") to amend the Official List of the CISX.  In order to implement the 
Reclassification for the purposes of the Listing Rules of the CISX the name of 
the Company's ordinary GBP 0.001 shares will be changed to Class A ordinary GBP 
0.001 shares and Class B ordinary GBP 0.001 shares will be admitted. 
 
Reclassification will take effect from 8.00 a.m. on 7 December 2010.
