NOTICE TO HOLDERS OF OPTIONAL REDEMPTION PRICE OF SERIES A EURO CMS-LINKED NON-CUMULATIVE PERPETUAL GUARANTEED PREFERENCE SHARES

NOTICE IS HEREBY GIVEN by Crèdit Andorrà Preference Ltd. (the "Issuer") of the Optional Redemption Price to be payable to Holders in respect of the redemption of all of its outstanding EUR150,000,000 Series A Euro CMS-Linked Non-Cumulative Perpetual Guaranteed Preference Shares (the "Preference Shares") on 22 December 2019 (the "Optional Redemption Date"), in accordance with paragraph 5(1) (Optional Redemption - Issuer Call Option) of the terms of the Preference Shares.

The Optional Redemption Price payable in respect of each Preference Share so redeemed shall be EUR101.123, comprised of the aggregate of (i) EUR100.00 and (ii) EUR1.123, being the amount of accrued and unpaid Dividends (whether or not declared) from (and including) 22 December 2018 to (but excluding) the Optional Redemption Date.

Upon such redemption, Dividends will cease to accrue on the Preference Shares and the Preference Shares will be cancelled.

Terms used in this notice shall have the meanings given to them in the terms of the Preference Shares contained in the Offering Circular dated 20 December 2005.
