Item 4.01 Changes in Registrant’s Certifying Accountant.

(a) Engagement of New Independent Registered Public Accounting Firm

On June 10, 2024, Barton CPA Firm of 17302 House Hahl Rd., Suite 333 Cypress, TX 77433 was appointed by the Audit Committee of Leafbuyer Technologies, Inc (the “Company”) as the Company’s new independent registered public accounting firm, to audit the Company’s consolidated financial statements re-review of our 10-Q 2023 and 2024 and for the fiscal years ended June 30, 2023 and 2024 subject to customary client acceptance procedures. On June 10^th, 2024, Barton CPA Firm completed such procedures, formally accepted its appointment by executing an engagement letter with the Company and issued its independence letter to the Company’s Audit Committee.

During the Company’s two most recent fiscal years and through June 10^th, 2024, the company had not consulted with Barton CPA Firm regarding any matter that was subject of a disagreement or a reportable event, as described under Item 304(a)(1)(v) of Regulation S-K.
