Item 8.01. Other Events.

On September 18, 2024, the Board of Directors of TriNet Group, Inc. (the “Company”) designated Jeffery Hayward as an executive officer of the Company under Rule 3b-7 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) and as an officer of the Company under Section 16 of the Exchange Act, effective September 16, 2024.

Also on September 18, 2024, the Company issued a press release announcing a dividend in the amount of $0.25 per share of the Company’s common stock with a record date and ex-dividend date of October 1, 2024 and a payout date of October 28, 2024. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
