Domain Names means all Internet domain name registrations.
DSOS means the Secretary of State of the State of Delaware.
Effect means any change, effect, development, circumstance, condition, state of facts, event or occurrence.
Encumbrance means any lien, pledge, hypothecation, charge, mortgage, security interest, encumbrance, claim, infringement,
interference, right of first refusal, or preemptive right.
Environmental Laws means any Law, including common law,
relating to the environment or human health and safety, including any Law pertaining to (1) release or threatened release of Hazardous Substances, (2) the generation, manufacture, handling, transport, use, treatment, storage or disposal of
Hazardous Substances, (3) pollution or protection of the indoor or outdoor environment, occupational health as it relates to exposures to Hazardous Substances or natural resources or (4) the European Unions Directives on the
Restriction of Hazardous Substances (RoHS) and the Waste Electrical and Electronic Equipment (WEEE).
ERISA means the
Employee Retirement Income Security Act of 1974, as amended, and the regulations promulgated and rulings issued thereunder.
Exchange Act means the United States Securities Exchange Act of 1934, as amended.
FCPA means the Foreign Corrupt Practices Act of 1977, as amended.
Governmental Authority means any (1) nation, principality, state, commonwealth, province, territory, county,
municipality, district or other jurisdiction of any nature, (2) federal, state, local, municipal, foreign or other government, (3) governmental (or quasi-governmental authority authorized to authorize, administer or enforce the Law) of any
nature (including any governmental division, subdivision, department, agency, bureau, branch, office, commission, council, board, instrumentality, officer, official, representative, organization, unit, body or entity and any court or other tribunal)
or (4) organization, entity or body exercising, or entitled to exercise, any executive, legislative, judicial, administrative, arbitral, regulatory, police, military or taxing authority or power of any nature (including persons acting as
arbitrators, alternative dispute resolution organizations and stock exchanges).
Hazardous Substances means
(1) those substances, materials, contaminants or wastes defined in or regulated as hazardous, toxic, or radioactive, under any Environmental Law or regulation promulgated thereunder, (2) petroleum and
petroleum products, including crude oil and any fractions thereof, (3) natural gas, synthetic gas and any mixtures thereof, and (4) polychlorinated biphenyls, friable asbestos and radon.
HSR Act means the United States Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and the rules and
regulations promulgated thereunder.
Indebtedness means with respect to any Person, any indebtedness of such Person
(excluding accrued expenses and trade payables), whether or not contingent (a) in respect of notes payable, accrued interest payable or other obligations for borrowed money, whether secured or unsecured, (b) evidenced by bonds, notes,
debentures or similar instruments or letters of credit (or reimbursement agreements in respect thereof); (c) in respect of bankers acceptances; (d) representing capital lease obligations; (e) representing the balance deferred and
unpaid of the purchase price of any property or services due more than one year after such property is acquired or such services are completed; or (f) representing any hedging obligations, if and to the extent any of the preceding items (other
than letters of credit and hedging obligations) would appear as a liability upon a balance sheet of the specified Person prepared in accordance with GAAP. In addition, the term Indebtedness includes all Indebtedness of others secured by
an Encumbrance on any asset of the specified Person (whether or
