Explanation of Responses:

(1)

The shares reported as disposed were withheld by the Issuer to satisfy tax withholding obligations of the Reporting Person related to the vesting of restricted stock units. The vesting event occurred as the result of the acceleration of vesting on all outstanding equity awards under the Issuer's equity plans upon the closing of the previously announced transaction between, inter alia, the Issuer's operating subsidiary, Aegerion Pharmaceuticals, Inc. ("Aegerion") and Amryt Pharma plc on September 24, 2019. As a result of the transaction, the Issuer was divested of Aegerion, which constituted a change of control or sale event under the Issuer's equity plans.
